Terms of service
General Terms and Conditions (GTC)
1. Scope
These General Terms and Conditions apply to all orders placed by consumers and businesses via our online shop.
A consumer is any natural person who enters into a legal transaction for purposes that are predominantly neither commercial nor related to their self-employed professional activity.
A business is a natural or legal person, or a partnership with legal capacity, which, when entering into a legal transaction, is acting in the course of its commercial or self-employed professional activities.
The contracting party is:
Verona Design House UG (limited liability)
Am Ostergraben 67
55128 Mainz
Germany
Managing Director: Baran Erol Emekli
Commercial Register: Mainz Local Court, HRB 53593
VAT registration number: DE453791124
2. Conclusion of the Contract
The presentation of products in our online shop does not constitute a legally binding offer, but rather a non-binding invitation to place an order.
By submitting your order via the ‘Buy now’, ‘Purchase’ button or a similarly unambiguous phrase, you are making a binding offer to conclude a contract of sale.
The contract is only concluded once we accept your order by sending an order confirmation by email or dispatch the goods to you.
We reserve the right to refuse orders if a product is unavailable, there is an obvious pricing error, or there are other legitimate reasons for not accepting the order. In such cases, any payments already made will be refunded without delay.
3. Language of the contract and storage of the contract text
The language available for concluding the contract is German.
We will store the contract text and send you the order details and these Terms and Conditions in writing, usually by email. You can view the contract text in your customer account once the order has been completed, provided you have created a customer account.
4. Prices and Terms of Payment
All prices stated in the online shop are in euros and include statutory VAT, where applicable.
In addition to the prices stated, delivery charges may apply. The delivery charges will be clearly communicated to you during the ordering process.
The available payment methods are displayed in the online shop and during the ordering process.
The purchase price is due immediately upon conclusion of the contract, unless otherwise specified for the relevant payment method.
5. Delivery and Dispatch
We deliver to the delivery address provided during the ordering process.
Information regarding delivery times is non-binding, unless, in exceptional cases, a fixed delivery date has been expressly agreed.
Should a product ordered be permanently unavailable for reasons beyond our control, we reserve the right to withdraw from the contract. In this case, we will inform you without delay and refund any payments already received immediately.
If the customer is a business, the risk of accidental loss and accidental deterioration of the goods passes to the customer upon handover to the carrier. For consumers, the statutory provisions apply.
6. Retention of Title
The goods remain our property until full payment has been made.
The following also applies to business customers:
We reserve title to the goods until all claims arising from the ongoing business relationship have been settled in full.
7. Right of withdrawal
Consumers generally have a statutory right of withdrawal in the case of distance contracts.
Details of the right of withdrawal can be found in our withdrawal policy.
8. Returns
Irrespective of your statutory rights, we ask that you notify us of returns in advance via the contact form wherever possible, so that they can be processed promptly. This does not affect your statutory rights, in particular your right of withdrawal.
9. Product presentation
We endeavour to present the products in our online shop as realistically as possible. However, due to individual screen and device settings, lighting conditions and production-related characteristics – particularly in the case of handmade or glass products – colours, patterns and finishes may differ slightly from those shown in the online shop.
Such variations, which are customary in the trade or due to the nature of the materials, do not constitute a defect provided they do not impair the product’s fitness for purpose and are typical of the goods in question.
10. Warranty
The statutory liability for defects applies.
The following applies to businesses:
The limitation period for claims for defects in newly manufactured goods is one year from the transfer of risk. This does not apply to claims for damages arising from injury to life, limb or health, in cases of wilful misconduct or gross negligence, in cases of fraudulent concealment of a defect, or to claims under the Product Liability Act.
11. Liability
We shall be liable without limitation:
- in cases of wilful misconduct and gross negligence,
- in the event of injury to life, limb or health,
- in accordance with the provisions of the Product Liability Act,
- and in all other cases where liability is mandatory under law.
In the event of a breach of essential contractual obligations due to slight negligence, we shall only be liable for foreseeable damage typical of the contract. Essential contractual obligations are obligations the fulfilment of which is essential for the proper performance of the contract and on the observance of which the customer may regularly rely.
Otherwise, liability for damage caused by slight negligence is excluded.
The above limitations of liability also apply in favour of our legal representatives, vicarious agents and other auxiliaries.
12. Use of the online shop
You may only use our online shop for lawful purposes. In particular, any use that
- contravenes applicable law,
- infringes the rights of third parties,
- is intended to cause technical disruption, overload or interference with our online shop,
- or is aimed at placing abusive, automated or fraudulent orders, is prohibited.
We reserve the right to restrict access to our online shop or individual functions if there are concrete indications of unlawful or abusive use.
13. Content, Reviews and Feedback
If you submit reviews, suggestions, ideas or other content to us, you grant us the non-exclusive right, unlimited in time and geographical scope, to use this content for the purpose of presenting, promoting and improving our services, provided that this is not precluded by mandatory legal provisions.
You warrant that any content you submit does not infringe the rights of third parties and is not unlawful, offensive or misleading.
We reserve the right not to publish or to remove any content that is unlawful or manifestly inappropriate.
14. External links and third-party providers
Where our online shop contains links to external websites or third-party services, we have no influence over their content. We therefore accept no liability for the content and offers of third parties, unless it is proven that we have breached our own obligations.
15. Shopify platform
Our online shop is technically hosted by Shopify. The contractual partner for all sales contracts concluded via this online shop is exclusively us, Verona Design House UG (limited liability), and not Shopify.
16. Data Protection
Information on the processing of personal data can be found in our Privacy Policy.
17. Final Provisions
The law of the Federal Republic of Germany shall apply, to the exclusion of the UN Convention on Contracts for the International Sale of Goods.
If you are a consumer and have your habitual residence in another Member State of the European Union, the mandatory consumer protection provisions of that State shall remain unaffected.
If the customer is a trader, a legal person under public law or a special fund under public law, the place of jurisdiction for all disputes arising from contractual relationships between the customer and us shall be Mainz, insofar as permitted by law.
Should any individual provisions of these General Terms and Conditions be or become invalid in whole or in part, the validity of the remaining provisions shall remain unaffected.
